NOPE for Teams — Business Terms
Effective October 28, 2026 · Version 2026-10-28-2 · Earlier versions
These Business Terms apply when a company, non-profit, public body or other organisation (the "Customer") buys NOPE seats for its people. They form an agreement between the Customer and Bit Microsystems LLC, 3640 Myrtle Avenue, Long Beach, CA 90807, USA ("we"). Our Terms of Use also apply to each person who uses NOPE, and our Privacy Policy applies to their data. If the Customer signs a separate order form or agreement with us, it takes priority where it conflicts with these terms.
Contents
1. Accepting these terms
The person who buys a team plan, or later takes over ownership of it (the "Owner"), confirms that they're authorised to accept these terms on the Customer's behalf. By completing checkout, accepting a quote, accepting a transfer of ownership or paying an invoice, the Customer accepts these terms. Team plans are business purchases. Consumer cooling-off and withdrawal rights don't apply to them.
2. Seats
- A seat gives one person full access to NOPE for as long as the Customer's plan is active. Seats are personal and can't be shared between people.
- The plan covers up to the number of seats purchased. Once all seats are in use, further invitations and domain joins are refused until the Customer adds seats or frees one, unless the Customer has switched on automatic seats (section 6).
- The minimum purchase is 5 seats. For 2 to 4 people, recurring gifts under our Terms of Use may cost less.
- A member uses a seat from the time they're invited or join until they're removed, decline or leave. An invited person who hasn't accepted yet still uses a seat.
- Each invited person decides whether to join. Before they join, NOPE shows them what the Customer will see (section 8) and asks them to confirm. Until they do, they appear to the Customer as invited.
3. Admins, co-admins and ownership
- The Owner can add co-admins. An admin can invite and remove people and manage seats and join settings. A billing admin can manage payment details, invoices and the seat count. In these terms, "Admin" means the Owner and any co-admin.
- Every Admin acts for the Customer. The Customer is responsible for what its Admins do in NOPE, including inviting and removing people, changing seats and transferring ownership. The Customer must remove an Admin who leaves the organisation or should no longer act for it.
- Transferring ownership. Ownership can be transferred only to a person who accepts these terms for the Customer and confirms that they're authorised to act for it. If the Customer has a verified email domain, the new Owner must use an address on that domain. We may ask the new Owner to add a payment method before the transfer completes. Until it completes, the current Owner stays responsible for billing. The person asked to take over can decline.
- If the Owner closes their NOPE account without transferring ownership, the plan stops renewing and ends at the end of the paid period. Until then, Admins can't extend it, add seats or transfer it. We tell the co-admins and members.
4. Pricing
- Unless an order form says otherwise, team plans use volume pricing: every seat on the plan is charged at the price of the tier the total seat count falls in. Current prices are shown at quitwithnope.com/teams, at checkout and in quotes.
- The price shown at checkout, or on the Customer's quote or order form, governs. Custom or negotiated prices apply only to the plan they were agreed for.
- Annual plans are paid upfront for the year, at the annual price shown at checkout.
- A plan is never charged more than the smallest plan in the next tier would cost.
- Self-serve plans can be bought with up to 1,000 seats. For more, or for custom terms, contact hello@quitwithnope.com. A plan that has automatic seats switched on can grow beyond 1,000 seats; every seat above 1,000 is charged at the price of the highest tier unless an order form says otherwise.
- Plans bought under earlier pricing keep that pricing while they continue without a break.
- We may change prices with at least 30 days' written notice before the Customer's next renewal. A change never affects a period already paid for.
5. Billing, invoices and taxes
- Card plans are charged at the start of each monthly or annual period through our payment provider, Stripe.
- Invoiced plans are available by arrangement for 25 or more seats. Unless we've verified the Customer's email domain or agreed otherwise, the first period is paid by card and invoicing starts from the next one. Before the first invoice is paid, a plan can invite at most 25 people. We ask for the Customer's legal name, a billing contact, a tax ID where it has one, and any purchase-order number. Invoices are payable within 30 days of the invoice date, unless the invoice says otherwise. Overdue amounts may be charged interest at 1% a month or the highest rate the law allows, whichever is lower, and we may suspend new invitations and joins while an invoice is more than 30 days overdue. Paying the first invoice confirms acceptance of these terms. Purchase-order numbers are for the Customer's reference. Terms printed on a purchase order don't apply.
- Prices exclude taxes unless stated. We calculate applicable sales tax, VAT, GST and similar taxes from the Customer's billing address and add them at checkout or on the invoice, and the Customer pays them, except taxes on our income. If the Customer gives a valid tax ID, reverse-charge rules may apply.
- Billing details, receipts and invoices are available from the billing portal linked in Gifts & teams in the app or at quitwithnope.com/account.
6. Adding and removing seats
- Adding seats takes effect immediately. The Customer is charged straight away for the added seats for the rest of the current period (prorated). If the new total moves the plan into a different price tier, the new tier price applies to all seats from then on. Example: halfway through a monthly period, the Admin raises a plan from 10 seats to 25, which moves every seat into a cheaper tier. The Customer is charged straight away for half a month of the difference between the new monthly total and the old one, plus any tax, and the new monthly total from the next renewal. The exact amount is shown before the change is confirmed. If a card payment needs extra authentication, the seats are added once it's completed.
- Automatic seats. If the Customer switches on automatic seats (an Owner or billing admin does this, and accepts a short consent first; it is on by default for new team plans, and the Customer can switch it off at any time), then when all seats are taken, people who join through the verified domain or a domain-only join link, or who are invited by an Admin, get access at once and the plan grows by the seats needed. The Customer is charged within one day for the added seats for the rest of the current period (prorated, counting the day the person joined as a whole day, at the price tier the new total falls in), and the new seat count renews from the next period. Plans paid by invoice receive a growth invoice once a week instead of a daily card charge. Joining stays opt-in for each person. A join link that anyone with any email address can use never adds seats automatically. The Customer can set a maximum number of seats, and we limit automatic growth per day (and tell the Owner by email when the limit is reached, and once a day about what was added). Seats are never reduced automatically: lowering the count works as described in the next point. Very small amounts that fall below the smallest card charge are added to the next invoice. Automatic seats stop while a payment is overdue or the plan is set to end.
- Lowering the seat count takes effect at the next renewal, and only if no more seats are in use than the new count by then. Until then the Customer keeps, and pays for, the seats already bought, and isn't refunded for them. If more seats are still in use at renewal, the lower count is cancelled and we tell the Owner.
- Removing a person ends their access straight away and frees their seat for someone else at once. There is no refund or credit for the unused part of the period. We tell the person their access through the Customer has ended, so they can continue on their own plan if they want to.
- The Admin can also remove someone who joined through the domain by entering their email address. We never confirm whether that address is on the plan.
- Payments are final, except for billing errors or where the law gives a right to a refund.
7. Domain join and join links
- The Admin can let people with the Customer's verified email domain join the plan. The Customer must control that domain. We may ask for proof, such as a DNS record, before switching domain join on, and we don't allow domain join for public email providers.
- The Admin can also switch on a join link to share with its people. If the Customer has a verified domain, the link works only for addresses on that domain, unless the Admin chooses to let anyone with the link join. The Customer is responsible for where it shares the link, and the Admin can switch it off or replace it at any time.
- Joining is always opt-in. A person with a matching email or the link is asked whether they want to join and may decline. Nobody is added automatically.
- Domain and link joins count toward the purchased seats and stop when they're all in use, unless automatic seats is on (section 6).
- For people who join through the domain or a link, the Customer sees only totals, in bands (fewer than 5, 5–9, 10–24, 25–99, or 100 or more), not names or email addresses, so individuals can't be picked out. The Customer won't use those totals, or their timing, to try to work out who joined.
- Unused seats are released. If someone who joined through the domain or a link hasn't signed in or opened NOPE for 120 days, we warn them, and release the seat 14 days later if they still haven't, so it's free for someone else. They can join again while seats are free. We don't tell the Customer who was released.
8. Member privacy
NOPE is built so that members can quit privately. Each member has their own account and their own contract with us.
- For people the Customer invited by email, the Customer can see their email address, the name it typed for them (if any), whether they've been invited, joined or declined, and when they joined. It never sees the name or nickname a member uses in NOPE. For people who joined through the domain or a link it sees banded totals only (section 7).
- The Customer never receives any member's quit data: no profile, nickname, smoking, vaping or other nicotine use, cravings, slips, journal notes, progress or whether they've quit. We won't provide it, even if asked, except where the law compels us. We also never tell the Customer whether someone already pays for NOPE themselves.
- Members can leave the plan at any time. We tell the Customer only that a seat became free, not who left, although for people invited by email the Customer's list will show who is no longer on it.
9. The Customer's responsibilities
The Customer must:
- invite only its own employees, contractors or other people it has a genuine relationship with, using email addresses it's entitled to use, and tell them it's offering NOPE (we provide a template);
- keep NOPE voluntary: not require anyone to join, use NOPE or report on their use, and not reward or penalise anyone, or make employment or insurance decisions, based on whether they joined or how they use it;
- not try to identify people who joined through the domain or a link, or to obtain members' quit data from us or from members;
- keep Admin access secure and up to date, and tell us promptly if an Admin leaves the organisation;
- comply with the law, including employment, privacy and anti-spam laws, in how it offers NOPE to its people.
The Customer is responsible for having a lawful basis to give us the email addresses it uploads.
10. Data protection
- We act as an independent controller of each member's account and quit data, under our Privacy Policy and Consumer Health Data Privacy Policy.
- For the roster data the Customer gives us (invited email addresses and names), we use it only to deliver invitations and reminders, run the plan and bill the Customer. We delete the roster, including unclaimed invitations, within 90 days after the plan ends.
- Where the Customer needs one, we'll sign a data processing agreement covering roster data. Ask at hello@quitwithnope.com. Our list of service providers is in our Privacy Policy.
- We'll tell the Customer without undue delay if we become aware of a security breach affecting its roster data.
11. Term, renewal and cancellation
- Plans run for monthly or annual periods and renew automatically for the same length until cancelled. For annual plans, we send the Admin a reminder before each renewal; for monthly plans, once every 12 months.
- The Admin can stop renewal at any time in Gifts & teams in the app or at quitwithnope.com/account, or by emailing us. The plan, and every member's access, continues to the end of the paid period and then ends. Members are told and can continue on their own plan.
- Either party may end the plan if the other materially breaches these terms and doesn't fix the breach within 30 days of written notice.
- If the Owner closes their NOPE account, the plan stops renewing unless ownership has been transferred to another person at the Customer first (section 3).
12. Non-payment
If a payment fails or an invoice is overdue, we'll notify the Admin and retry. If a card payment is still unpaid 14 days after it was due, or an invoice 45 days after it was due, the plan ends and members lose access. We'll tell members so they can continue on their own plan. If the Customer disputes a charge with its bank instead of contacting us, we may suspend the plan while the dispute is open, and restore it if the dispute is resolved in the Customer's favour.
13. Warranties and disclaimers
We'll provide NOPE with reasonable skill and care. NOPE is behavioral support, not medical care. It is not a medical device, an employee health program within the meaning of any law, or a substitute for clinical cessation support. We don't guarantee any quit outcome or participation rate. Except as stated in these terms and to the extent the law allows, NOPE is provided "as is" and we disclaim all other warranties, express or implied, including merchantability and fitness for a particular purpose.
14. Liability
- Neither party is liable to the other for indirect, incidental, special, consequential or punitive damages, or lost profits, revenue or data, even if advised of the possibility.
- Each party's total liability under these terms is limited to the fees the Customer paid in the 12 months before the event giving rise to the claim.
- These limits don't apply to the Customer's payment obligations, to a party's breach of section 8 or 9, to fraud, or to liability that can't be limited by law.
- The Customer will defend and indemnify us against third-party claims arising from email addresses or content it uploaded without the right to do so, or from its breach of section 9.
15. General
- Publicity. Neither party will use the other's name or logo publicly without written permission.
- Confidentiality. Each party will keep the other's non-public business information (such as pricing in an order form) confidential and use it only for this agreement.
- Governing law. These terms are governed by the laws of the State of California, USA, without regard to conflict-of-laws rules. The state and federal courts in Los Angeles County, California have exclusive jurisdiction, but either party may seek urgent injunctive relief anywhere.
- Changes. We may update these terms with at least 30 days' notice to the Owner. Changes apply from the Customer's next renewal after the notice period. If the Customer objects, it may stop renewal before then. Version 2026-10-28-2 adds automatic seats (sections 2, 4, 6 and 7). They apply to a plan only once its Owner or a billing admin has switched them on and accepted this version.
- Assignment. Neither party may assign this agreement without the other's consent, except to a successor of its business that takes on its obligations.
- Entire agreement, severability, no waiver and force majeure apply as in section 27 of our Terms of Use.
- Notices to us: hello@quitwithnope.com and our postal address above. Notices to the Customer go to the Owner's email.
