Partner Program Terms
Effective October 27, 2026 · Version 2026-10-27
These terms apply to people and organisations we invite to refer new members to NOPE ("Partners"). They form an agreement between you and Bit Microsystems LLC, 3640 Myrtle Avenue, Long Beach, CA 90807, USA ("we"). By sharing your partner code or using your partner dashboard, you accept them. Your individual agreement with us (for example your revenue-share percentage) is part of these terms.
1. Joining
- The program is invitation-only. We may accept or decline anyone, and you must be at least 18.
- We give you a personal code and a private dashboard link. Keep the dashboard link private. Anyone with it can see your statistics.
2. What you earn
- A referred member is someone who enters your code in the app before or when they start their plan, and who didn't already have a NOPE account.
- You earn the revenue-share percentage shown in your dashboard on payments we actually receive from your referred members' NOPE subscriptions. This is calculated after taxes and after refunds, chargebacks and reversals. Store and payment-processing fees may be deducted as stated in your agreement.
- You don't earn on your own purchases, on gift or team plans unless agreed in writing, or on referrals obtained in breach of these terms.
- Your dashboard shows sign-ups, paying members and earnings as totals. You never see who your referred members are, and we never share their personal or health data with you.
3. Payouts
- We settle earnings monthly, by the method agreed with you, in the currency we agree. Earnings that are later refunded or charged back are deducted from future payouts.
- You're responsible for your own taxes. We may ask for tax forms (such as a W-9 or W-8BEN) before paying, and may withhold where the law requires.
- If you think a payout is wrong, tell us within 60 days of receiving it.
4. How you may promote NOPE
- Disclose the relationship clearly every time you promote NOPE, for example "I earn a share when you subscribe with my code", as required by the US FTC Endorsement Guides and similar rules elsewhere.
- Be honest. Share only your genuine experience. Don't claim that NOPE cures addiction, guarantees quitting, is medical treatment, or is endorsed by any health authority. Don't make health claims beyond those on our website.
- Don't promote NOPE to anyone under 18 or in content aimed at them, and don't glamorise smoking or vaping.
- No spam: no unsolicited bulk email or messages, no fake reviews, and no incentivised installs.
- Don't bid on "NOPE" or our brand terms in paid search, or use domains, accounts or ads that could be mistaken for ours.
- Use our name and logo only as provided in our press kit, and stop on request.
5. Changes and ending the program
- Either of us may end this agreement at any time by email. We'll pay earnings due up to the end date, except earnings obtained in breach of these terms.
- We may change these terms or your revenue-share percentage with 30 days' notice. Changes apply to payments received after the notice period.
- We may suspend your code immediately if we reasonably believe you've broken section 4.
6. General
- You're an independent contractor, not our employee, agent or partner in the legal sense, and you can't make commitments on our behalf.
- Our total liability to you is limited to the earnings owed to you in the 12 months before a claim. Neither of us is liable for indirect or consequential losses.
- These terms are governed by the laws of the State of California, USA, and disputes go to the state and federal courts in Los Angeles County, California.
